1. Seller Information

2. Subject Matter of the Contract

The website allows for the online purchase of clothing, footwear, leather goods, and accessories from luxury brands available through Guerra S.r.l., with physical delivery via courier in Italy, the European Union, and non-EU countries.

3. How the Contract Is Concluded

An order submitted by the customer via the website constitutes a contractual offer made to Guerra S.r.l. The contract is deemed concluded when the customer receives an order confirmation email from Guerra S.r.l., following successful payment. Prior to such confirmation, Guerra S.r.l. reserves the right not to accept the order (for example, in the event of the product becoming unavailable), with prompt notification to the customer and a full refund of any amount already paid.

4. Prices and Currencies

Prices are listed in Euros (or in the local currency of the destination country, if the multi-currency feature of Shopify Markets is enabled) and include VAT where applicable under current regulations. Shipping costs are listed separately and communicated to the customer before order confirmation and payment. Guerra S.r.l. reserves the right to change prices at any time, provided that the price applied to an order that has already been confirmed remains the price indicated at the time of the order.

5. Accepted Payment Methods

Payment can be made through the following payment gateways, all of which are integrated as hosted/redirect payment flows, without Guerra S.r.l. processing or storing the full payment card details:

  • PayPal ;
  • Axerve/Banca Sella (GestPay) ;
  • Klarna (including any installment or deferred payment options offered by Klarna);
  • Scalapay (installment payments).

Payment is charged upon order confirmation, unless otherwise specified by the specific installment payment method chosen by the customer (Klarna, Scalapay), which is governed by the respective terms and conditions of those providers.

6. Shipping

Orders are shipped via DHL and/or managed through Packlink PRO, an intermediary platform that selects and books the actual carrier (e.g., GLS, BRT, SDA, UPS) from among those available in its network. Estimated delivery times are provided to the customer during checkout and may vary depending on the destination (Italy, European Union, non-EU countries) and the courier’s availability. For shipments outside the EU, any customs duties, import taxes, or other charges applied in the destination country are the customer’s responsibility, unless otherwise explicitly stated at the time of ordering.

7. Billing and Payment

The tax regime applied to orders on this site follows the conclusion already verified in official sources from the Italian Revenue Agency in the document `docs/b2c/fase0-verifica-fiscale.md` (Phase 0 of the project), summarized here and not discussed further:

  • For orders paid for online with physical delivery via courier (Italy and the European Union), the transaction is classified as “indirect e-commerce,” treated similarly to mail-order sales: there is no requirement to automatically issue an invoice or a receipt/electronic sales record for each order. The order amount is recorded by Guerra S.r.l. in aggregate form in the revenue register required by Article 24 of Presidential Decree 633/1972.
  • If the customer wishes to receive an invoice , they must explicitly request it during checkout, either before or at the time of payment , providing their tax information (tax ID or VAT number, address). If requested, the invoice is issued electronically via the Exchange System (SdI), in accordance with current regulations. Invoice requests received after the order has been finalized may not be processed, in accordance with the regulatory requirement that invoices be issued “no later than the time the transaction is carried out.”
  • For sales to non-EU countries, the applicable tax treatment involves an issue that has not yet been clarified by a specific primary official source (see `docs/b2c/fase0-verifica-fiscale.md`, “declared gap” section): the document issuance mechanism for these orders will be finalized only after further verification, which is also recommended to be conducted with an accountant before the Shopify specification’s Phase 3 goes live in production.

8. Right of Withdrawal and Warranties

9. Governing Law and Jurisdiction

This contract is governed by Italian law. For disputes in which the purchaser qualifies as a consumer under the Consumer Code (Legislative Decree 206/2005), the court of the consumer’s place of residence or domicile has exclusive jurisdiction, pursuant to Article 33, paragraph 2, letter u), of the Consumer Code. For contractual relationships not covered by consumer protection laws (e.g., purchasers acting in the course of business, commercial, artisanal, or professional activities), the Court of Taranto shall have exclusive jurisdiction.

10. Changes to These Terms

Guerra S.r.l. reserves the right to modify these Terms and Conditions at any time. Such modifications do not apply to orders already confirmed prior to their publication.
